1. Introduction

This Service Agreement (“Agreement”) governs the use of the NetDataVisor platform (“Service”), provided by NetValue (“Company”, “we”, “our”). By accessing or using the Service, you (“User”, “you”) agree to be bound by this Agreement. If you do not agree, you must not use the Service.

2. Nature of the Service

  • NetDataVisor is a Software-as-a-Service (SaaS) platform designed for automation, data processing, and analysis of streaming data.
  • The Service does not constitute financial, investment, or trading advice.
  • The Service is not a brokerage or dealing platform and does not accept or manage client funds. All funds remain under the full control of the User on their respective trading accounts.

3. User Responsibilities

  • You are solely responsible for configuring your own strategies, parameters, and scenarios within the Service.
  • All risks related to the use of the Service, including but not limited to financial losses, are borne exclusively by you.
  • You agree not to misuse the Service for unlawful purposes, including but not limited to money laundering, fraud, or unauthorized access to third-party systems.

4. Access and API Keys

To use certain features of the Service, you must create and provide API keys from your own trading platform accounts. These keys are generated and managed solely by you.

When creating an API key, you must ensure that withdrawal permissions are disabled. NetDataVisor requires only permissions necessary for trading and data access. The Service has no technical ability to withdraw funds under any circumstances.

NetDataVisor operates strictly within the scope of the permissions you define. You remain solely responsible for configuring your API keys correctly and safeguarding your credentials from unauthorized access. The Company is not liable for any consequences resulting from misconfigured, exposed, or compromised API keys.

5. Intellectual Property

  • All rights, titles, and interests in the Service, including software, design, and content, are owned by NetValue.
  • You receive a non-exclusive, limited, non-transferable license to use the Service for personal or business purposes under this Agreement.

6. Subscription and Payments

  • The Service is provided on a subscription basis with monthly fees.
  • Subscription fee is specified in the invoice issued to you at the time of payment.
  • Fees are fixed and independent of your trading results, profits, or losses (PnL).
  • Subscription fees are non-refundable unless otherwise required by applicable law.
  • The Company reserves the right to change subscription fees, with prior notice provided to active subscribers.

7. Limitation of Liability

  • The Service is provided “as is” and “as available,” without warranties of any kind, express or implied.
  • NetValue shall not be liable for any indirect, incidental, or consequential damages, including but not limited to financial losses, data loss, or service interruptions.
  • Your sole remedy for dissatisfaction with the Service is to discontinue use.

8. Termination of Service

Termination by You:
You may stop using the Service and cancel your subscription at any time through your account settings. Any remaining subscription periods will not be refunded unless otherwise required by applicable law.

Termination by Us:
We reserve the right to suspend or terminate your access to the Service if you violate this Agreement, misuse the Service, or engage in activities that jeopardize the platform’s security, stability, or integrity. In cases of fraud, abuse, or unlawful activity, termination may take effect immediately without prior notice.

Effect of Termination:
Upon termination, your access to the Service will end immediately, and all associated rights under this Agreement will cease. You remain responsible for any outstanding payments incurred before termination. Termination does not affect provisions of this Agreement that are intended to survive, such as intellectual property rights, disclaimers, limitations of liability, and governing law.

9. Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of Finland. Any disputes arising out of or in connection with this Agreement shall be resolved exclusively in the competent courts of Finland.
